  • Optional DFY (Done For You) services like outbound outreach and inbound ads management.

These services are subject to the specific terms outlined in individual service agreements or project proposals.

2. Client Responsibilities

Clients agree to:

  • Make timely payments as specified in the service agreement.
  • Grant necessary access to systems and data required for Falcon to perform the services.

3. Payment and Fees

  • Services are priced on a project basis with fixed fees within a predetermined range, as specified in the service agreement.
  • Payment terms are outlined in the service agreement and may include upfront payments, milestone payments, or recurring monthly fees.
  • Late payments may be subject to interest charges or suspension of services. Non-payment may result in termination of the agreement and potential legal action.
  • Falcon offers a satisfaction guarantee as outlined in its Guarantee Policy. Refunds or additional services may be provided at Falcon's discretion based on the specific circumstances and agreed-upon objectives.

4. Intellectual Property

  • All intellectual property rights to deliverables created by Falcon, including but not limited to strategies, plans, content, and designs, remain the property of Falcon unless otherwise specified in the service agreement.
  • Clients receive a non-exclusive, revocable license to use the deliverables for their intended purpose.
  • Clients may not use Falcon's company name or logo in their marketing materials without prior written consent, which can be requested via email at hello@falconcorpsys.com.

5. Confidentiality

  • Falcon maintains strict confidentiality regarding client information and will not disclose it to any third party without prior written consent, except as required by law.
  • Both parties agree to sign a non-disclosure agreement (NDA) to protect confidential information shared during the engagement.

6. Termination

  • Either party may terminate the agreement with written notice under the following circumstances:
    • Material breach of the agreement by the other party.
    • Non-payment of fees.
    • For monthly services, either party can terminate with 30 days' written notice.
    • For project-based services, termination may be subject to specific terms outlined in the service agreement.
  • Upon termination, the client will be responsible for any outstanding fees. Falcon will cease providing services and return any client data or materials as required by law or the agreement.

7. Limitation of Liability

  • Falcon's liability for any damages or losses arising from the use of its services is limited to the total fees paid by the client for the specific service in question.
  • Falcon makes no warranties or guarantees regarding specific outcomes or results from its services, as these are influenced by various factors beyond Falcon's control.
  • Clients acknowledge that they are solely responsible for implementing Falcon's recommendations and strategies and for the ultimate success of their sales and marketing efforts.

8. Governing Law and Dispute Resolution

  • This agreement is governed by the laws of the State of Delaware.
  • Any disputes arising from this agreement will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.  

9. Miscellaneous

  • This agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings, whether written or oral.  
  • Falcon reserves the right to modify these Terms and Conditions at any time. Any changes will be effective immediately upon posting on the Falcon Corporate Systems website.  
  • If any provision of this agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
